Terms of Service

1. Agreement to Terms

By downloading, installing, accessing, or subscribing to Synergoi (the "Software") or using https://tracewyn.com (the "Site"), you agree to be bound by these Terms of Service ("Terms") entered into with Tracewyn("Company", "we", "us"). If you are using the Software on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.

2. Software License & Permitted Use

Subject to your active subscription ($20/month or $150/year), Tracewyn grants you a non-exclusive, non-transferable, revocable license to install and run Synergoi on devices that you own or control for personal and commercial software development.

• Commercial Rights: You may use Synergoi to develop, modify, build, test, and ship commercial software applications, client work, open-source repositories, and internal tools.
• Restrictions: You may not reverse-engineer, decompile, redistribute, resell, or lease the binary executable packages of the Software without explicit written permission from Tracewyn.

3. 100% Code Ownership & Intellectual Property

You own all rights, title, and interest in and to your code. Tracewyn claims no intellectual property rights, copyright, or ownership over any source code, documentation, prompt text, git commits, diffs, or artifacts generated while using Synergoi.

All data processed by the Software remains in your physical possession on your local storage. We do not use your code or interactions to train public or proprietary machine learning models.

4. Third-Party AI Subscriptions (BYOS)

Synergoi orchestrates third-party command-line interfaces (such as Anthropic Claude Code, OpenAI Codex, xAI SuperGrok, and Cursor CLI) and local runtimes (such as Ollama and LM Studio).

• Independent Subscriptions: You are responsible for obtaining and maintaining valid accounts and subscriptions with your chosen AI providers.
• Vendor Terms: Your use of third-party AI models is governed exclusively by the terms and acceptable use policies of Anthropic, OpenAI, xAI, and Cursor respectively.
• No Liability for Provider Outages: Tracewyn is not responsible for third-party rate limits, subscription bans, token pricing changes, model modifications, or upstream API outages.

5. Execution Safety & Access Presets

Synergoi provides automated tooling capabilities (such as file edits, git branch operations, and shell command executions via the permission broker).

• Access Presets: You are responsible for selecting the appropriate access preset (Read-only, Ask, Workspace auto, or Full auto) and verifying any commands executed by autonomous agents.
• Isolated Worktrees: While Synergoi utilizes isolated git worktrees (syn/*) and per-turn checkpointing to protect your checkouts, you should always maintain proper remote backups of critical repositories.

6. Subscriptions, Payments & Cancellation

Payments are billed via Lemon Squeezy (our Merchant of Record).

• Billing Cycle: Subscriptions automatically renew monthly ($20/mo) or annually ($150/yr) until cancelled.
• Cancellation: You may cancel your subscription at any time via your Lemon Squeezy customer portal. You will retain full access to Synergoi until the end of your current paid billing period.
• Refunds: If you experience technical issues that prevent you from using the Software, please contact support within 14 days of purchase for assistance or refund requests.

7. Disclaimer of Warranties & Limitation of Liability

Please read this section carefully as it limits our liability.

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TRACEWYN DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL TRACEWYN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF CODE, LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, AI MODEL HALLUCINATIONS, OR AGENT-EXECUTED COMMANDS.
